Reporting into the Deputy Company Secretary this is an extremely varied role which will involve the following:

  • Primary responsibility for the preparation of all necessary documents to convene board, committee and general meetings
  • Review of board and committee packs, and provision of support and training to the authors and presenters, to ensure high quality of materials that aid the directors in discharging their duties
  • Responsible for meeting logistics for the board and committee meetings, with assistance from the Company Secretarial Assistant and other team members as required
  • Support management committee meetings including: production, co-ordination and distribution of timed agendas, preparation and distribution of advance materials and taking and drafting of minutes
  • Reviewing and drafting resolutions
  • Attend and assist board and committee meetings including producing high quality shadow minutes as and when required in accordance with existing internal guidelines
  • Key liaison for the board and committee communications
  • Provide support and mentoring to more junior team members
  • Subject matter expert and key point of contact for all stakeholders on governing documents (including Articles of Association, Terms of Reference, Charter documents etc.)
  • Monitor general company secretariat email inbox, and respond to queries in a proactive, helpful, timely and professional manner, including the provision of Powers of Attorney and various corporate governance requests
  • Support the Entity Manager in the maintenance of the international corporate structure across Europe, Middle East and Africa, including general compliance, formations, dissolutions etc.
  • Filing and maintenance of board and entity documents in the appropriate internal database
  • Advice and support on all technology based Company Secretariat systems (including BoardVantage, Diligent, and GEMS)
  • Working with the Company Secretary and Deputy Company Secretary to establish new processes and procedures, and proactively providing suggestions on the improvement of existing processes
  • Acting as Company Secretary (where required) for subsidiary companies
  • Provide assistance on key projects, such as director elections, board effectiveness, internal restructures, and other projects that arise from time to time
  • Proactively leading and managing the collation and preparation of a knowledge hub for all Corporate Secretarial matters
  • Provide regular training and updates to other stakeholders in corporate governance and Board matters, including promoting and protecting the corporate structure
  • Provide input into the company secretariat team budget and assist in delivering cost savings
